By using Clovek Wealth’s features and services or web sites (“Clovek Wealth services”), you agree to the following terms and conditions, and any policies, guidelines or amendments thereto that may be presented to you from time to time, including but not limited to Program Policies and Legal Notices (collectively, the “Terms”). We may update the Terms in the future, and you will be able to find the most current version of this agreement on our website

1. 1. USE OF SERVICES

1.1. Clovek Wealth offer services to you, provided that you are of legal age to form a binding contract and are not a person barred from receiving services under the Indian laws or other applicable jurisdiction. In order to access certain services, you may be required to provide current, accurate identification, contact, and other information as part of the registration process and/or continued use of Clovek Wealth services. You are responsible for maintaining the confidentiality of your account password, and are responsible for all activities that occur under your account. You agree to immediately notify Clovek Wealth of any unauthorized use of your password or account or any other breach of security. Clovek Wealth cannot and will not be held liable for any loss or damage arising from your failure to provide us with accurate information or to keep your password secure. You understand that all information, data, text, software, messages or other materials (“Content”) are the sole responsibility of the person from which such Content originated. Clovek Wealth reserves the right, but shall have no obligation, to pre-screen, flag, filter, refuse, modify or move any Content available via Clovek Wealth services. You agree that you are responsible for your own conduct and any Content that you create, transmit or display while using Clovek Wealth services and for any consequences thereof. You agree to use Clovek Wealth services only for purposes that are legal, proper and in accordance with the Terms and any applicable policies or guidelines. You agree that you will not engage in any activity that interferes with or disrupts Clovek Wealth services or servers or networks connected to Clovek Wealth services. You agree to comply with Clovek Wealth’s data usage and privacy policies. Users outside of India agree to comply with their own local rules regarding online conduct and acceptable content

2. PROPRIETARY RIGHTS

You acknowledge and agree that Clovek Wealth services and any necessary software used in connection with Clovek Wealth services (“Software”) contain proprietary and confidential information that is protected by applicable intellectual property and other laws and treaties. Except as expressly authorized by Clovek Wealth or other proper third party rights holders, you agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on Content, Clovek Wealth services or Software, in whole or in part except as specifically authorized in a separate written agreement. Your Rights: Clovek Wealth claims no ownership or control over any Content submitted, posted or displayed by you on or through Clovek Wealth services. You or a third party, as appropriate, retain all patent, trademark and copyright to any Content you submit, post or display on or through Clovek Wealth services and you are responsible for protecting those rights, as appropriate. By submitting, posting or displaying Content on or through Clovek Wealth services which are intended to be available to the members of the public, you grant Clovek Wealth a worldwide, non-exclusive, royalty-free license to analyse, reproduce, adapt, modify, publish and distribute such Content on Clovek Wealth services for the purpose of displaying, distributing and promoting Clovek Wealth services. Clovek Wealth reserves the right to syndicate Content submitted, posted or displayed by you on or through Clovek Wealth services and use that Content in connection with any service offered by Clovek Wealth. Clovek Wealth reserves the right to refuse to accept, post, display or transmit any Content in its sole discretion.

3. SOFTWARE AND AUTOMATIC UPDATES

Your use of any Software provided by Clovek Wealth will be governed by the Terms and any additional terms and conditions of the end user license agreement accompanying such Software.

4. PERSONAL NON-COMMERCIAL USE

You agree not to reproduce, duplicate, copy, sell, trade, resell or exploit for any commercial purposes, any portion of Clovek Wealth services, use of Clovek Wealth services, or access to Clovek Wealth services except as otherwise expressly provided in the Terms or as specifically authorized in a separate written agreement.

5. TERMINATION

Service provided to you shall automatically discontinue on expiry of the subscription period. However, if you choose to discontinue your use of Clovek Wealth services at any time, please advise your Relationship manager. In the event of termination, your account will be disabled and you may not be granted access to Clovek Wealth services.

6. LINKS

Clovek Wealth may provide, or third parties may provide, links to other World Wide Web sites or resources. Clovek Wealth may have no control over such sites and resources and you acknowledge and agree that Clovek Wealth is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any Content, advertising, products, or other materials on or available from such sites or resources. You further acknowledge and agree that Clovek Wealth shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such Content, goods or services available on or through any such site or resource.

7. INDEMNITY

You agree to hold harmless and indemnify Clovek Wealth, affiliates, officers, agents, employees, licensors, suppliers or partners, (collectively “Clovek Wealth and Partners”) from and against any third party claim arising from or in any way related to your use of Clovek Wealth services, violation of the Terms or any other actions connected with use of Clovek Wealth services, including any liability or expense arising from all claims, losses, damages (actual and consequential), suits, judgments, litigation costs and attorneys’ fees, of every kind and nature. In such a case, Clovek Wealth will provide you with written notice of such claim, suit or action

8. SECURITY POLICY

You expressly understand and agree that your use of Clovek Wealth services is at your sole risk. Clovek Wealth services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Clovek Wealth expressly disclaim all warranties and conditions of any kind, whether express or implied, including, but not limited to the implied warranties and conditions of merchantability, fitness for a particular purpose and non-infringement.

No advice or information, whether oral or written, obtained by you from Clovek Wealth or through or from Clovek Wealth services shall create any warranty not expressly stated in the terms.

9. LIMITATION OF LIABILITY

You expressly understand and agree that Clovek Wealth shall not be liable to you for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Clovek Wealth have been advised of the possibility of such damages) resulting from:

(i) the use or the inability to use Clovek Wealth services;

(ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from Clovek Wealth services;

(iii) unauthorized access to or alteration of your transmissions or data;

(iv) statements or conduct of any third party on Clovek Wealth services; or

(v) any other matter relating to Clovek Wealth services. You expressly agree that the maximum Liability, if so arise, is limited to the subscription fees you have paid to Clovek Wealth.

10.DISRUPTION

10.1. You agree that Clovek Wealth shall not be liable for any disruption of service owing to either technical or infrastructural issues.

11. PROHIBITED CONDUCT

You agree not to engage in any of the following activities:

Violating laws and rights: You may not – (a) use the Clovek Wealth website for any illegal purpose or in violation of any local, state, national, or international laws, (b) violate or encourage others to violate any right of or obligation to a third party, including but not limited to, by infringing, misappropriating, or violating intellectual property, confidentiality, or privacy rights, (c) circumvent or disable any content protection system or digital rights management technology used in connection with the content on the Clovek Wealth website, (d) rebroadcast or transmit the Clovek Wealth website content, (e) modify the Clovek Wealth website in any manner, including but not limited to, by removing identification, copyright or other proprietary notices from the Platform Content, or by framing, mirroring, or utilizing similar techniques.

Solicitation: You may not use the Clovek Wealth website, or any information provided through the Clovek Wealth website for the transmission of advertising or promotional materials, including junk mail, spam, chain letters, pyramid schemes, or any other form of unsolicited or unwelcome solicitation.

Disruption: You may not use the Clovek Wealth website in any manner that could disable, overburden, damage, or impair the Clovek Wealth website, or interfere with any other user’s use and enjoyment of the Clovek Wealth website; including but not limited by:

((a) uploading or otherwise disseminating any virus, adware, spyware, worm or other malicious code, or

(b) interfering with or disrupting any network, equipment, or server connected to or used to provide the Clovek Wealth website, or violating any regulation, policy, or procedure of any network, equipment, or server, or

(c) modifying, merging, revising or enhancing the Clovek Wealth website in any way, or

(d) decompiling, disassembling, reverse engineering the Clovek Wealth website in any manner whatsoever.

Impersonation or unauthorized access: You will not impersonate another person or entity, or misrepresent your affiliation with a person or entity when using the Clovek Wealth website.
You will not use or attempt to use any other person or entity’s information, personal or otherwise; and you will not attempt to gain unauthorized access to the Clovek Wealth website, through hacking, password mining or any other means.

Developing competing offerings: You will not use the Clovek Wealth website to develop any competing platforms, applications, websites or products which are similar or substantially similar to the Clovek Wealth website.
You understand and acknowledge that if you indulge in any of the prohibited conduct stated above, and it is brought to the notice of Clovek Wealth, the Clovek Wealth may terminate your right to use the Clovek Wealth website and the features and take any other corrective action as it deems fit.
In the event you are at the receiving end of any offensive content or are the victim of any such action of any other User, you are encouraged to report such content or conduct to Clovek Wealth. Clovek Wealth may delete such offensive content and take any other corrective action as it deems fit.

12. ELECTRONIC RECORD

This document is an electronic record in terms of the Information Technology Act, 2000 and the rules framed thereunder as applicable, and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures. This document is published in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries Guidelines) Rules, 2011 that require publishing the rules and regulations, Terms of Use for access and usage of the Platform.

13. SURVIVAL

The Disclaimer of Warranties, the Limitation of Liability, Indemnity and the Choice of Law and Forum provisions will survive any termination of these Terms and Conditions.

14. CHANGE IN TERMS

We may update these Terms and Conditions without notice to you. You are encouraged to check these Terms and Conditions on a regular basis to be aware of the changes made to it. Your continued use of the Clovek Wealth website after such change shall be deemed to be your acceptance of the revised Terms and Conditions.
